Terms of Use

This agreement between you ("Publisher," or "You") and RandomBookMacine and its owner AthorsBookshop.com ("RandomBookMachine.com"), will commence upon your approval of this agreement by checking the "I agree" box at the end of the agreement and by the completion and submission of Account Creation form. Confirmation of registration will come via an email from RandomBookMachine.com to you, the participating Publisher.

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the RandomBookMachine.com Services. By using the RandomBookMachine.com Services, you agree to be bound by this Agreement.

RandomBookMachine.com may modify this Agreement from time to time and such modification shall be effective upon posting by RandomBookMachine.com on the RandomBookMachine.com Website. You agree to be bound to any changes to this Agreement when you use the RandomBookMachine.com Services after any such modification is posted. RandomBookMachine.com will make a best-faith effort to notify Publisher via email of changes.

You acknowledge that RandomBookMachine.com reserves the right to charge for the RandomBookMachine.com Services and to change its fees from time to time at its discretion.

RandomBookMachine.com reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the RandomBookMachine.com Services at any time, for any or no reason, with or without prior notice, and without liability.

RandomBookMachine.com is under no obligation to accept the Publisher's application and either party may terminate this agreement for any reason or for no reason, with notice either in writing or by email. In the event of termination of this agreement by the Publisher, the Publisher's listings will be removed in a timely fashion, however, the contractual financial obligations will remain in force until the end of the contract period; without notification of termination, the contract period will roll over into the next, i.e., from month to month or year to year.

Content:

RandomBookMachine.com provides a randomly searchable database to which the Publisher may upload and list his/her books for sale to site visitors. The Publisher indemnifies and holds harmless RandomBookMachine.com for any inaccuracies, misstatements, or misrepresentations made by the Publisher in his/her listings, content, or in any other information Publisher may upload or supply to RandomBookMachine.com. The Publisher affirms that he/she has full title and/or right to sell the items he/she lists for sale on RandomBookMachine.com. RandomBookMachine.com may refuse any uploaded information, wording or content at any time, in its sole discretion, for any reason.

RandomBookMachine.com does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Content") that you post to the RandomBookMachine.com Services. After posting your Content to the RandomBookMachine.com Services, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose.

Furthermore, the Publisher agrees that RandomBookMachine.com may use any or all content of any listing, wording or information ("Information") excepting personal or financial information (see next paragraph) provided by the Publisher and, further, the Publisher grants RandomBookMachine.com a free, non-exclusive, worldwide, irrevocable, royalty-free license to use, reproduce, disclose, disseminate, publish, or otherwise distribute said Information to further the purpose of attracting more customers and more sales for all participating Publishers, or as RandomBookMachine.com otherwise sees fit. RandomBookMachine.com will comply with any reasonable request to refrain from using Information as requested in writing or by email by the Publisher.

RandomBookMachine.com, for the purposes of administrating and operating the website and book listing service, will store and utilize the Publisher's personal/business and/or financial information. This may entail posting some information online or providing such to site visitors, only as necessary for the transactions between the Publisher and site visitor (for instance, in the case of contact information). Otherwise, RandomBookMachine.com will not sell or disseminate any personal or financial information the Publisher has provided to RandomBookMachine.com.

RandomBookMachine.com may delete any Content that in the sole judgment of RandomBookMachine.com violates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. RandomBookMachine.com assumes no responsibility for monitoring the RandomBookMachine.com Services for inappropriate Content or conduct. If at any time RandomBookMachine.com chooses, in its sole discretion, to monitor the RandomBookMachine.com Services, RandomBookMachine.com nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.

You are solely responsible for the Content that you post on or through any of the RandomBookMachine.com Services. RandomBookMachine.com does not endorse and has no control over the Content. Content is not necessarily reviewed by RandomBookMachine.com prior to posting and does not necessarily reflect the opinions or policies of RandomBookMachine.com. RandomBookMachine.com makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you transmit to other Members.

Disputes:

In the event of any dispute between the Publisher and RandomBookMachine.com, all good faith efforts to resolve the dispute in a reasonable, civil manner must be attempted by both parties. If such fails to settle the disagreement, then the parties hereby agree to binding arbitration conducted in Baltimore City, Maryland by an arbitration entity suitable to both parties before one arbitrator and such arbitration shall be conducted in accordance with the laws of the State of Maryland. The arbitrator may grant injunctions or other relief in such dispute or controversy. The decision of the arbitrator shall be final, conclusive and binding on the parties to the arbitration. Judgement may be entered on the arbitrator's decision in any court having jurisdiction in the event that any legal or equitable action, proceeding or arbitration arises out of concerns over this agreement. The prevailing party shall be entitled to recover its costs and reasonable attorney's fees. In the event of unforeseen legal suit, RandomBookMachine.com retains the right to choose the court jurisdiction and location. In the event of any third party dispute with or suit against the Publisher, the Publisher will indemnify RandomBookMachine.com against all claims and expenses including attorneys' fees. Any such claims or expenses will be the responsibility of the Publisher solely and RandomBookMachine.com will not be held liable for any damages, perceived or factual, arising from such disputes.

Conduct:

By registering as a Publisher, Publisher agrees to become a member of an online community dedicated to promoting the sale of independently published books. As such, Publisher agrees to abide by the standards of common online courtesy and agrees to refrain from such activities as spamming, lewd or offensive behavior, harassing other members of the community, or soliciting of services unrelated to the interests of said community.

By clicking the checkbox adjacent to "I agree with the terms of use" upon registration, the Publisher agrees to all the conditions set forth above. This agreement takes effect immediately thereafter.
